Aborda-se, neste ensaio, os fundamentos teóricos do segundo movimento Law and Economics, sobretudo se pensado a partir das obras de Richard Posner. Enaltece-se, assim, o modelo ideológico e político assumido e observa-se criticamente o desenvolver teórico do aspecto eficientista (Pareto e Kaldor-Hicks) aplicado ao direito. Por fim, ressalta-se o descompasso do segundo movimento Law and Economics em relação ao modelo contemporâneo de estado de direito.
